What is Environmental Due Diligence?

For businesses or investors, before embarking on and committing to commercial transactions, real estate acquisitions, or development projects, it is always advisable to conduct Environmental Due Diligence. This is a detailed investigation aimed at identifying environmental impacts associated with that particular activity or property, avoiding issues or surprises during the process, and determining the purchase or sale price accordingly.

Environmental due diligence considers various factors such as environmental risks, applicable regulations, potential legal liabilities, and the presence of contaminants.

What is Environmental Due Diligence?

Environmental Due Diligence (EDD) is a preventive activity of reconnaissance and analysis of environmental compliance. It is part of a broader process of gathering and verifying information of a financial, economic, and managerial nature.

Environmental Due Diligence is a thorough evaluation process conducted on land, areas, real estate, and production facilities. Due to its investigative nature, EDD is carried out before a commercial transaction, an investment, or a construction project.

The phases of Environmental Due Diligence

The Environmental Due Diligence process involves two fundamental steps:
  • Phase 1: It is the preliminary stage of document research, where information is collected about the site to identify possible non-compliances and environmental liabilities.
  • Phase 2: Site investigations are carried out to reveal the possible presence of hazardous or polluting substances and, therefore, any signs of contamination. This is the moment when any environmental liabilities are quantified.

Based on this data, a risk and opportunity assessment is prepared.

Compliance opinion and final report

The outcome is a compliance opinion, resulting from the overlap between documented information and the actual state of the locations, specifying and distinguishing between identified and assessable environmental liabilities from potential or non-assessable ones (in the absence of additional assessments).

Based on the results of the environmental characterization analyses, a final report is prepared, accompanied by appropriate cartographic attachments and the results of field environmental investigations.

The importance of Environmental Due Diligence

The goal of EDD is to identify the costs and environmental risks associated with any unknown liabilities (such as soil contamination, water pollution, air emissions, or the presence of hazardous pollutants in construction materials) that could harm the ecosystem, and address them with the most suitable strategies.

At the same time, Environmental Due Diligence allows stakeholders to assess and understand the responsibilities they may face regarding complex local, national, and international environmental regulations. This is to avoid penalties and legal complications and adopt proper management of potential environmental impact.

Thanks to Environmental Due Diligence, it is possible to take necessary measures to reduce incidents, environmental violations, mitigate impacts, and ensure responsible environmental practices.

The primary tool for environmental and investment sustainability

Environmental Due Diligence represents a primary tool for making informed and conscious decisions. It helps identify potential obstacles and environmental challenges that could affect the construction phases, timelines, and project costs. Therefore, EDD is a crucial element for compliance with environmental regulations and also for investment sustainability.

With the evolving environmental legislation, today EDD is recognized as a fundamental procedure for certifying the environmental quality of a site (land, area, property, or facility), necessary for managing the site itself, in full compliance with environmental regulations.

Identifying existing non-compliance issues and proactively addressing regulatory requirements allows companies to maintain a positive relationship with regulatory authorities and the communities in which they operate.

Through Environmental Due Diligence, it is also possible to promote sustainability by introducing environmentally friendly practices or waste reduction. This enables the company to reduce its environmental impact and improve its reputation in the market.
